Welcome to TheIdeaLoft.nz (“TheIdeaLoft”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our website, apps, and services (the “Services”). By using the Services, you agree to these Terms.


1) Eligibility & Accounts

  • You must be 16 years or older to use the Services. If you are 16–17, you must have permission from a parent or legal guardian.
  • You must provide a real name and valid email address to register. Your public alias (handle) is shown to others; your legal name is not publicly displayed.
  • You are responsible for activity on your account. Keep login details secure and notify us promptly of any unauthorised use or security issue.

2) Your Content (User-Generated Content)

Content” means anything you post, upload, share, or otherwise make available on or through the Services (e.g., text, images, audio/video, links, prompts, whiteboard drawings).

  • Your rights. You retain all rights to your original Content.
  • Licence to us. You grant TheIdeaLoft a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, reproduce, modify (formatting/display only), adapt, publish, translate, publicly display and distribute your Content solely for operating, improving and promoting the Services (e.g., generating thumbnails, content delivery, backups, indexing, showing posts in feeds). This licence ends when you delete the Content, except that (a) reasonable backups and caches may persist for a limited time; and (b) public re-shares by other users may remain visible.
  • Responsibility. You are solely responsible for your Content and its consequences.
  • Content rules. Don’t upload Content that is unlawful; infringes third-party rights (copyright, privacy, publicity); is defamatory, harassing, hateful, or pornographic; contains malware or harmful code; is spam or designed to manipulate ranking/traffic; or violates these Terms or our policies.
  • Open-source/code. If you post code or assets subject to third-party licences, you have the right to do so and will pass through any required terms.
  • Moderation. We may remove or restrict Content and may suspend or terminate accounts that, in our reasonable opinion, violate these Terms, the law, or our policies. We’ll act reasonably and, where practical, notify you of the basis for action and how to appeal.

3) AI Features & Disclaimers

  • Fallibility. AI outputs can be inaccurate, inappropriate, or offensive. Verify important information independently.
  • Attribution & ownership. Subject to third-party terms and applicable law, you may use AI outputs you generate, but you’re responsible for ensuring they don’t infringe others’ rights or violate laws/policies.
  • Your inputs. You are responsible for prompts and input data. Don’t submit confidential information you don’t want processed.
  • Similarity. Similar or identical outputs may be generated for different users; exclusivity is not guaranteed.
  • Third-party providers. We may route AI requests through third-party providers per our Privacy Policy and those providers’ terms.

4) Community Standards & Prohibited Uses

  • No harassment, bullying, threats, or incitement to violence.
  • No impersonation or misrepresentation of affiliation.
  • No bypassing moderation or safety systems.
  • No malware; no unauthorised access, probing, or interference.
  • No spam, scams, or illegal/harmful activities.

5) Automated Access (Anti-Scraping)

Without our prior written consent, you may not:

  • Use bots, scrapers, crawlers or similar tools to systematically access, download, or harvest data/content;
  • Conduct bulk data collection, database scraping, or data mining;
  • Send automated requests at a volume/rate inconsistent with normal human browsing;
  • Create or use accounts primarily for automated collection;
  • Circumvent rate limits, access restrictions, or anti-bot measures; or
  • Access the Services via automated means for commercial purposes.

Enforcement. We may deploy technical measures (rate limiting, CAPTCHAs, IP/account blocks) and pursue legal remedies. Do not rely on automated access to obtain accurate data; such access may be limited or blocked.

If you believe Content infringes your copyright, email [email protected] with:

  1. Your contact details;
  2. Description of the copyrighted work;
  3. URL(s) of the allegedly infringing Content;
  4. A statement of good-faith belief that the use is not authorised; and
  5. A statement that the information is accurate and you are the rights holder or authorised agent.

We may remove or restrict the Content and, where appropriate, notify the user. If removed in error, you may submit a response explaining why it’s not infringing. We act reasonably in assessing both sides. (This is NZ-friendly; US senders may reference DMCA.)

7) Third-Party Services

The Services may integrate with or link to third-party services (e.g., communications providers, payments, AI vendors). Their terms and policies apply; we aren’t responsible for services we don’t control.

8) Audio/Video, Calls & Recordings

  • Consent. Don’t record/capture others without all required consents. Local laws may require one-party or all-party consent.
  • Safety. Don’t stream harmful, illegal, or non-consensual content.
  • Quality & availability. Network performance varies; features are best-efforts.

9) Payments & Subscriptions if/when offered

  • We will display pricing, term, and renewal details at checkout.
  • Subscriptions auto-renew until cancelled. You can cancel anytime; cancellation takes effect at the end of the current billing period.
  • Refunds are governed by our Refund Policy (and consumer law, where applicable).

10) Termination

You may stop using the Services at any time and request account deletion. We may suspend or terminate access where we reasonably believe: (a) you materially or repeatedly breach these Terms, policies, or laws; (b) doing so is required by law; or (c) doing so protects users, us, or third parties. We will act reasonably and, where practical, provide notice and information about how to appeal.

11) Changes to the Services & Terms

We may change or discontinue features from time to time. We may update these Terms by posting the revised version with a new “Last updated” date. Material changes will be notified in-product or by email when feasible. Your continued use after changes take effect constitutes acceptance.

12) Disclaimers & Limitation of Liability

  • The Services are provided on an “as is” and “as available” basis. We do not promise the Services will be uninterrupted, secure, or error-free.
  • To the maximum extent permitted by New Zealand law, we exclude all warranties, representations, and conditions (express or implied) not expressly set out in these Terms. Nothing here excludes, restricts, or modifies rights and remedies under the Consumer Guarantees Act 1993 or other non-excludable laws if you are a consumer.
  • To the maximum extent permitted by law, we are not liable for: (a) loss of profits, revenues, data, goodwill, or indirect/consequential loss; or (b) any amount exceeding the fees you paid to us in the 12 months before the event giving rise to liability (or NZD $100 if you paid no fees). Different caps may apply to paid plans as described in their specific terms.

13) Indemnity

You agree to indemnify and hold harmless TheIdeaLoft and our directors, officers, employees, and agents from claims and expenses (including reasonable legal fees) arising from your breach of these Terms, your Content, or your use of the Services in violation of law or third-party rights.

14) Governing Law & Disputes

These Terms are governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts. If a dispute arises, please contact us first to seek an informal resolution.

15) Miscellaneous

  • Entire agreement. These Terms and referenced policies (e.g., Privacy Policy, Community Guidelines) form the entire agreement between you and us regarding the Services.
  • Severability. If any provision is invalid or unenforceable, the remainder remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

  • You own your content; you license us to host, display, and promote it to run the platform.
  • Follow community rules; don’t post illegal, infringing, or harmful content.
  • AI can be wrong or weird — verify anything important.
  • No scraping or automated harvesting without permission.
  • Simple copyright complaint process for takedowns.
  • We can remove content and suspend accounts that break rules; appeals available.
  • NZ law applies; consumer rights that can’t be excluded still apply.
